STATE OF MISSOURI
CHARTER OF NONPROFIT INCORPORATION
The undersigned natural person or persons, having capacity to contract and acting as the Incorporator or Incorporators of a Corporation under Chapter 355 RSMo. and the laws of the State of Missouri adopt the following Charter for such Corporation:
ARTICLE I - NAME -
The name of the Corporation is the COUNCIL SPRING FOUNDATION.
ARTICLE II - TYPE -
The Corporation is a public benefit corporation, pursuant to Chapter 355.881 RSMo.
ARTICLE III - DURATION -
The duration of the Corporation is perpetual.
ARTICLE IV - ADDRESS -
The principal office of the Corporation is in the State of Missouri, County of Howell, shall be "Council Spring Foundation, 213 Summit Street, West Plains, Missouri 65775, and the Registered Agent is Gary Medina.
ARTICLE V - INCORPORATORS -
The incorporators are natural persons that are legal citizens of the United States of America, and are all over the age of 18.
ARTICLE VI - MEMBERS -
This Corporation shall have members.
ARTICLE VII - DISSOLUTION -
In the event of the dissolution of this Corporation, voluntarily or otherwise, the person or persons having custody of the Corporation funds, property, and assets, after payment of all obligations, within thirty days of such dissolution, shall give, convey, assign, transfer, and set over to an organization or organizations created and operated for non-profit purposes similar to those of the Corporation, all of said funds, property, and assets. Any such organization shall itself be exempt as an organization described in Sections 501 ( c ) ( 3 ) and 170 ( c ) ( 2 ) of the Internal Revenue Code of 1954 or corresponding sections of any prior or future law, and all such property accruing to any such organization shall be use to promote its aims and purposes, and as provided for is sections 355.661 through 355.746 RSMo.
ARTICLE VIII - PURPOSE -
The Council Spring Foundation shall serve as a non-profit support group organized to provide monetary, volunteer and advisory support for the charitable and educational activities of the Council Spring Native American Cultural Center, a public facility which is owned and operated by the Council Spring Foundation, this shall be its primary purpose. The Council Spring Foundation is thus dedicated to providing support to Council Spring Native American Cultural Center for the collection, preservation, exhibition and interpretation of the natural and cultural history of the lower and middle and upper Mississippi River Valley, and for the production of cultural and educational special events, including but not limited to festivals, musical presentations, films, educational programming, special celebrations and events. Such support may involve the operation of staff, buildings, grounds and equipment, as well as improvements to the programs, the maintenance, and the physical plant of the Council Spring Native American Cultural Center, thus enabling an expansion of the educational and charitable services and facilities currently available at the Council Spring Native American Cultural Center. The corporation is organized exclusively for charitable, educational, religious, or scientific purposes within the meaning on Section 501 ( c ) ( 3 ) of the Internal Revenue Code of 1954, and all other legal powers permitted a Nonprofit Corporation.
ARTICLE IX - INUREMENT OF INCOME -
No part of the net earnings of the Corporation shall inure to the benefit of, or be distributable to, its members, officers, or other private persons except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered.
ARTICLE X - LEGISLATIVE OR POLITICAL ACTIVITIES -
No substantial part of the activities of the Corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Corporation shall not participate in, or intervene in (including the publishing or distribution of statements), in any political campaign on behalf of any candidate for public office.
ARTICLE XI - OPERATIONAL LIMITATIONS -
Notwithstanding any other provision of these articles, the Corporation will not carry on any other activities not permitted to be carried on by (a) a corporation exempt from Federal income tax under Section 501 ( c ) ( 3 ) of the Internal Revenue Code of 1954 (or the corresponding provision of any future Untied States Internal Revenue law) or (b) a corporation, contributions to which are deductible under Section 170 ( c ) ( 2) of the Internal Revenue Code of 1954 (or any other corresponding provision of any future United States Internal Revenue law).
The Corporation shall be operated and supervised in connection with the Council Spring Native American Cultural Center, and shall not be controlled either directly or indirectly by one or more disqualified persons (as defined in Section 4946 of the Internal Revenue Code) other than foundation directors or the Council Spring Native American Cultural Center.
